01 · Scope

Applicability

These general terms and conditions apply to every proposal, assignment and agreement under which Katachi Studio provides branding, graphic design, digital design, creative direction, copy direction or Wix website services.

Katachi Studio is a registered trade name of The Social Table Rotterdam, established at Boerhaavelaan 34 B1, 3112 LJ Schiedam, registered with the Dutch Chamber of Commerce under number 42113041.

Services are offered exclusively to clients acting in the course of a business or profession. A client's purchasing conditions do not apply unless Katachi Studio accepts them expressly in writing.

02 · Proposal and booking

When a project begins

Website information and listed prices are indicative and do not constitute a binding offer. The final scope, deliverables, fee, revision rounds and schedule are stated in the written proposal.

An agreement is formed when the client accepts the proposal or agreement in writing and the required 50% deposit has been received. A project place is not reserved until both steps are complete. Quotes remain valid for the period stated in the proposal.

03 · Collaboration

Client responsibilities

The client must provide accurate information, usable content, timely consolidated feedback and all approvals reasonably needed to perform the assignment. The client guarantees that materials supplied to Katachi Studio may lawfully be used and do not infringe third-party rights.

Schedules assume feedback and materials are received by the agreed dates. Delayed input may move the project into the next available production period. Katachi Studio is not responsible for delay caused by the client or a third-party supplier.

The client remains responsible for final proofreading, factual accuracy, legal compliance of its own business and content, and approval before publication or production.

04 · Fees and payment

Clear commercial terms

  • All prices exclude VAT and third-party costs unless expressly stated otherwise.
  • A 50% deposit is payable to confirm the assignment. The remaining 50% is due before final files, licences or website handover are released.
  • Invoices are payable within 14 days unless the proposal states a different period.
  • Domains, hosting, paid apps, printing, production, premium fonts, stock imagery and external licences are separate client costs unless included in writing.
  • Katachi Studio may suspend work or delivery while an invoice is overdue.

For late business payments, statutory commercial interest and reasonable extrajudicial collection costs may be charged in accordance with Dutch law.

05 · Scope and revisions

Focused feedback, defined rounds

The included revision rounds are stated in the selected package or proposal. Feedback must relate to the approved direction and be provided in one consolidated response per round.

Additional concepts, changed instructions, new deliverables, work requested after approval or extra revision rounds fall outside the original scope. Such work is performed only after approval of the additional fee or is charged at the then-current rate. The website currently lists additional revision work from €50 per hour.

A change in scope may also require a revised schedule.

06 · Cancellation and pause

Reserved time has value

If the client cancels after the agreement has been formed, the client must pay for all work performed, reserved production time that cannot reasonably be reallocated and committed third-party costs. The deposit is credited against that amount and is not automatically refundable.

If a client becomes unresponsive for more than 30 days, Katachi Studio may pause and reschedule the project. If there is no meaningful response for 60 days after a written reminder, Katachi Studio may close the project and invoice completed work and committed costs.

Either party may terminate the agreement if the other party materially breaches it and does not remedy the breach within a reasonable written cure period. Immediate termination remains possible where continued cooperation cannot reasonably be required.

07 · Intellectual property

Rights follow final payment.

All concepts, drafts, methods, presentations and design work remain protected by intellectual-property rights. Until all related invoices have been paid, the client may not publish, reproduce or use the deliverables.

After full payment, the client receives the usage rights expressly described in the proposal for the approved final deliverables. Copyright is transferred only where this is expressly agreed in a signed written document. Unused concepts, working files, design methods and source materials remain with Katachi Studio unless agreed otherwise.

Third-party fonts, stock assets, software, templates and platform elements remain subject to their own licences. The client is responsible for ongoing licence and subscription costs after handover.

Unless confidentiality or a written embargo has been agreed, Katachi Studio may show completed and publicly launched work in its portfolio, website, social media, awards and promotional materials, with appropriate credit to the client.

08 · Wix websites

Platform and handover

Katachi Digital currently covers Wix websites within the scope stated in the proposal. The client must maintain its own Wix subscription, domain and any paid applications or integrations.

Katachi Studio is not responsible for outages, policy changes, price changes, discontinued functions, security incidents or other actions of Wix, domain registrars or external service providers.

Fourteen days of technical aftercare are included after handover for defects in the delivered implementation. New content, changed preferences, third-party updates, additional pages and issues caused by client edits fall outside aftercare and may be quoted separately.

The client is responsible for final legal texts, accessibility or sector-specific compliance unless those services are expressly included in the proposal.

09 · Liability and force majeure

Reasonable boundaries

Katachi Studio will perform the assignment with professional care. Creative services are obligations of effort and do not guarantee a particular commercial result, revenue, ranking, conversion rate, registration outcome or third-party approval.

To the extent permitted by law, Katachi Studio is not liable for indirect loss, lost profit, lost savings, reputational damage, business interruption or loss caused by inaccurate client information, unlawful client materials or third-party platforms.

Any direct liability is limited to the fee, excluding VAT, paid for the part of the assignment giving rise to the claim. This limitation does not apply where liability results from intent or deliberate recklessness by Katachi Studio or where limitation is prohibited by mandatory law.

Neither party is liable for delay caused by circumstances reasonably beyond its control. The affected obligations are suspended for the duration of the force-majeure event. If this lasts longer than 60 days, either party may terminate the unperformed part of the agreement in writing.

10 · Confidentiality and privacy

Information is treated with care.

Both parties must keep confidential information received during the project confidential, except where disclosure is required to perform the agreement, obtain professional advice or comply with law.

Personal data is processed in accordance with the privacy notice. The client must not provide sensitive or unnecessary personal data unless this has been discussed and is required for the assignment.

11 · Final provisions

Dutch law applies.

Dutch law governs every proposal, assignment and agreement with Katachi Studio. The parties will first try to resolve complaints or disputes through good-faith consultation.

If consultation does not resolve the matter, the dispute will be submitted to the competent court in the district of Rotterdam, unless mandatory law requires another court.

If any provision is invalid or unenforceable, the remaining terms continue to apply. The invalid provision will be replaced by a valid provision that most closely reflects its purpose.

Katachi Studio may update these terms for future assignments. The version accepted with the relevant proposal remains applicable to an existing assignment unless the parties agree otherwise in writing.
